Terms of Service

1. Acceptance of Terms

By accessing our website or purchasing our services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not use our services.

2. Description of Services

Hydra Shift provides AI automation consulting, implementation, and management services. This includes the configuration of chatbots, workflow automations, and integration with third-party software.

AI LimitationsYou acknowledge that AI technology is experimental and rapidly evolving. While we strive for accuracy, AI agents may occasionally produce incorrect or irrelevant outputs ("hallucinations"). Hydra Shift is not liable for business decisions made based on AI-generated content.

3. Fees and Payments

• Setup Fee: A one-time setup fee is due upon signing. This fee is non-refundable once work has commenced.
• Subscription Fees: Monthly recurring fees are billed in advance.
• Payment Terms: Invoices are due upon receipt. We reserve the right to suspend services for accounts more than 7 days overdue.
• Price Changes: We reserve the right to adjust pricing with 30 days' notice.

4. The 20-Day Launch Guarantee

We guarantee to have your core AI automation system live within 20 business days of the project kickoff.

Conditions: This guarantee is valid only if the Client provides all necessary assets (logins, content, approvals) within 24 hours of request. Delays caused by the Client void this time guarantee. If we fail to meet this timeline due to our own fault, your first month of subscription management is free.

5. Intellectual Property

• Client Data: You retain all rights to your data and confidential information.
• Hydra Shift IP: We retain all rights to our pre-built templates, code libraries, prompt engineering methodologies, and frameworks used to deliver the service. You are granted a non-exclusive, non-transferable license to use these automations for your business operations while you are an active client.

6. User Responsibilities

You agree not to use our AI agents for any illegal or unauthorized purpose, including but not limited to harassment, spamming, or violating third-party terms of service (e.g., WhatsApp or Facebook broadcasting rules).

7. Limitation of Liability

To the maximum extent permitted by law, Hydra Shift shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of our services or third-party platform outages (e.g., if OpenAI goes down). Our total liability is limited to the amount paid by you in the 3 months preceding the claim.

8. Termination

• By You: You may cancel your monthly subscription with 30 days' written notice.
• By Us: We may terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users of our services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.
